1. Acceptance of Terms

By visiting HeyImShawn.com, contacting me, requesting a proposal, or engaging me for project work, you agree to these Terms of Service. If you do not agree, do not use the website or request services.

2. Services

HeyImShawn provides services that may include SaaS strategy, UX/UI design, frontend development, backend development, integrations, dashboards, portals, workflow systems, deployment, hosting support, QA, documentation, and launch planning. Exact services, timelines, responsibilities, and deliverables are defined in a written proposal, statement of work, invoice, contract, or other project agreement.

3. Website Content

Portfolio descriptions, service summaries, project examples, estimates, and website content are provided for general informational purposes. They do not guarantee specific outcomes, rankings, revenue, uptime, performance, or business results.

4. Project Scope and Changes

Project scope is based on the agreed deliverables. Requests outside the agreed scope may require additional time, fees, revised timelines, or a separate agreement. Delays caused by missing assets, late feedback, unavailable credentials, third-party service issues, or changing requirements may affect delivery dates.

5. Client Responsibilities

You are responsible for:

• Providing accurate project requirements, business information, content, assets, and feedback.
• Having rights to any materials, trademarks, media, data, or content you provide.
• Reviewing deliverables, testing business-critical workflows, and approving launch decisions.
• Maintaining secure access to accounts, credentials, billing, third-party tools, and production systems.
• Complying with laws that apply to your business, industry, customers, content, and data.

6. Fees, Payments, and Deposits

Fees, payment schedules, deposits, retainers, and due dates are defined in the applicable project agreement or invoice. Unless otherwise stated, payments are due according to the invoice terms. Late or missed payments may pause work, delay delivery, or restrict access to unfinished deliverables.

7. Deliverables and Acceptance

Deliverables may include source code, design files, documentation, deployments, configuration, written guidance, or other agreed materials. A deliverable is considered accepted when you approve it, launch it, use it in production, or do not report material issues within the review period specified in the project agreement.

8. Intellectual Property

Unless a project agreement states otherwise, you retain ownership of materials you provide. Upon full payment, you receive ownership or agreed usage rights to final custom deliverables created specifically for your project. I may retain ownership of pre-existing tools, reusable components, workflows, templates, know-how, concepts, libraries, and generalized development methods used to produce the work.

9. Portfolio Rights

Unless restricted by a written agreement, I may reference completed work in my portfolio, case studies, resumes, proposals, sales materials, or website. Confidential information, private credentials, sensitive business data, and non-public technical details will not be intentionally published without permission.

10. Hosting, Deployment, and Third-Party Services

Projects may rely on third-party services such as hosting providers, domains, analytics, payment processors, email tools, APIs, databases, repositories, cloud platforms, or automation services. You are responsible for third-party terms, billing, account ownership, service limits, outages, and policy changes unless otherwise agreed in writing.

11. Maintenance and Support

Post-launch maintenance, monitoring, bug fixes, content updates, security updates, hosting support, and feature iteration are included only if stated in the project agreement. Otherwise, ongoing support may be quoted separately.

12. Acceptable Use

You agree not to use this website or any services to:

• Violate laws, regulations, intellectual property rights, privacy rights, or security obligations.
• Transmit malware, spam, abusive content, fraudulent material, or harmful code.
• Attempt unauthorized access to systems, accounts, repositories, infrastructure, or data.
• Misrepresent your identity, authority, ownership, or rights to provided materials.

13. Confidentiality

Confidential project information will be handled with reasonable care and used for the project purpose. A separate nondisclosure agreement may be used when a project requires additional confidentiality obligations.

14. No Warranties

The website and services are provided on an "as is" and "as available" basis unless a written agreement states otherwise. I do not guarantee uninterrupted availability, error-free operation, specific business outcomes, search rankings, revenue increases, or compatibility with every third-party system.

15. Limitation of Liability

To the fullest extent allowed by law, HeyImShawn will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, downtime, reputational harm, or business interruption. Any direct liability is limited to the amount paid for the specific service giving rise to the claim, unless a written agreement says otherwise.

16. Indemnification

You agree to defend, indemnify, and hold HeyImShawn harmless from claims, damages, liabilities, costs, and expenses arising from your content, your business operations, your misuse of services, your violation of these terms, or your violation of third-party rights or laws.

17. Termination

Either party may stop project discussions at any time before a formal agreement is accepted. Active projects may be paused or terminated according to the applicable project agreement. Amounts owed for completed work, reserved time, third-party costs, or approved milestones remain due.

18. Changes to Terms

These Terms may be updated as the website, services, or legal requirements change. Continued use of the website or services after updates means you accept the revised Terms.
